Terms of Service

ReplyOP is a cloud-hosted AI communication assistant. The email tool connects to your inbox — Gmail, Outlook, or any other IMAP provider — reads inbound and outbound mail, and uses large language models to classify messages, score leads, draft replies, propose meeting times, and run multi-step sequences on your behalf. With Instagram DM automation (a managed add-on set up by our team) it does the same for your Instagram direct messages. The service is delivered as a software-as-a-service web application accessed at the ReplyOP domain.

We may add, remove, or change features at any time. We will not materially reduce functionality you are paying for during a paid billing period without notice.

To use ReplyOP you must create an account and connect at least one mailbox. You agree that:

• You are at least 18 years old, or the age of majority in your jurisdiction.
• The information you provide at signup is accurate and you keep it current.
• You are responsible for everything that happens under your account, including the content of every email ReplyOP sends on your behalf.
• You will keep your login credentials confidential and notify us immediately of any suspected unauthorized access.
• You have the right to grant ReplyOP access to every mailbox you connect — i.e. you either own it or have explicit authorization from its owner.

You agree not to use ReplyOP to:

• Send spam, unsolicited bulk email, or messages in violation of CAN-SPAM, CASL, GDPR ePrivacy rules, or any other applicable law.
• Send harassing, defamatory, fraudulent, or otherwise abusive messages.
• Impersonate any person or entity, or misrepresent your affiliation with one.
• Distribute malware, phishing links, or anything else designed to compromise a recipient's system.
• Attempt to circumvent rate limits, scrape the service, or reverse-engineer the underlying models or infrastructure.
• Use the service to compete with us by training a derivative product on the prompts or responses we generate for you.

We may suspend or terminate any account that we reasonably believe is in violation of these rules, with or without notice depending on severity.

ReplyOP uses generative AI to draft replies, summaries, and classifications. AI output is probabilistic. It can be wrong. It can hallucinate facts, misclassify intent, mis-score leads, or produce phrasing you would never use yourself.

You are solely responsible for the content of any message that leaves your mailbox, including messages sent by ReplyOP's autopilot. If autopilot is enabled, you accept the risk that the AI may send something inaccurate or off-tone. Manual approval mode is available and is the recommended setting until you trust the system on your specific data.

ReplyOP does not provide legal, financial, medical, or other professional advice. AI-drafted messages should not be relied on as such.

ReplyOP uses AI to draft emails, score leads, propose meeting times, and (when you enable autopilot) send messages on your behalf. AI output may be inaccurate, incomplete, or inappropriate. You retain full responsibility for any communication sent from your account, including AI-drafted and AI-auto-sent messages. ReplyOP makes no warranty as to the accuracy of AI features. You agree to review AI output before sending in high-stakes contexts (contracts, offers, financial commitments, regulated communications).

When you enable autopilot, you authorize ReplyOP to send emails on your behalf without your individual approval, subject to the controls you configure (scope, time window, per-contact pause). You acknowledge that autopilot may send emails that contain errors. You are responsible for reviewing autopilot activity regularly and pausing autopilot if you discover problems.

Your content stays yours. The mailbox you connect, the messages we sync, the contacts you import, the templates you author, and the AI drafts that we generate from them are all your property. By using the service you grant us a limited, worldwide, non-exclusive license to process this content solely to operate the service for you.

Our software and brand stay ours. The ReplyOP application, source code, name, logo, prompts, and accompanying documentation are our property and may not be copied, distributed, or used to build a competing product without written permission.

If you are on a paid plan, fees are billed in advance on a recurring basis as described at the time of subscription. Failure to pay may result in suspension. All fees are non-refundable except where required by law. We may change pricing for new billing periods on at least thirty days' notice; you may cancel before the new rate takes effect.

You may close your account at any time from Settings → Danger zone, which runs a full cascading deletion of your data and revokes our access to your connected mailboxes and, if connected, your Instagram account.

We may terminate or suspend your account for violation of these terms, for non-payment, or if we are required to by law. Where the situation allows, we will give you advance notice and a chance to export your data.

Sections that by their nature should survive termination — including IP, disclaimers, limitation of liability, and governing law — will survive.

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate.

To the fullest extent permitted by law, ReplyOP and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or relating to your use of the service, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or relating to the service will not exceed the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars.

You agree to indemnify and hold ReplyOP harmless from any claim, damage, or expense (including reasonable legal fees) arising out of (a) your use of the service in violation of these terms, (b) the content of messages you send via the service, or (c) your violation of any third party's rights, including privacy or intellectual property rights.

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to that venue. If you are a consumer in the EU or UK, mandatory local consumer protections still apply.

By creating an account, you agree that ReplyOP may send you emails related to your account (verification, password reset, billing notices, security alerts) and product communications including:

• Product updates and new feature announcements
• Tips, walkthroughs, and best-practices content for getting more out of ReplyOP
• Promotional offers, discounts, and time-limited deals
• Customer success surveys and feedback requests

You can opt out of marketing emails at any time using the unsubscribe link in any marketing email or by emailing info@optovo.co. Account-related emails (verification, password reset, billing notices, security alerts) cannot be opted out of while you have an active account, because they are required for the service to function.

We may update these terms from time to time. If we make a material change we'll notify you in-app or by email at least fourteen days before it takes effect. Your continued use of the service after the effective date constitutes acceptance.
